Terms of Service

1. Agreement

By creating a workspace or using the service you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you have the authority to bind it. If you do not agree, do not use the service.

2. What the service is

Zenix is account infrastructure. It stores credentials you provide for third-party networks, resolves them into account data, and performs actions you instruct it to perform as those accounts. Zenix is not affiliated with, endorsed by, or operated in partnership with any network it connects to.

3. Your accounts and credentials

You are solely responsible for the accounts you attach. You confirm that:

• you own each account, or are expressly authorised to operate it;
• attaching it does not breach that network's terms or any agreement you are under;
• you have any consent required from people whose data the account exposes.

We cannot verify ownership of an account you attach, and we do not attempt to. That verification is your responsibility, and the consequences of getting it wrong are yours.

4. Acceptable use

Your use is additionally governed by the Acceptable Use Policy, which forms part of these terms. Breaching it is a breach of this agreement.

5. Third-party networks

Each network sets its own terms, rate limits and automation rules, and may change them without notice. Zenix provides rate policy, quiet hours and per-account limits as tools to help you stay within those rules, but offers no guarantee that any particular use complies with them. A network may restrict, suspend or terminate an account you operate through Zenix, and we are not liable for that.

6. Availability

We aim for high availability but do not warrant uninterrupted service. Adapters depend on third-party interfaces that can change or break without notice; an adapter may be degraded or withdrawn. Planned maintenance is announced where practical.

7. Plans, billing and cancellation

Paid plans bill in advance for the period shown at checkout. Plans renew automatically until cancelled, and cancelling takes effect at the end of the current period. Exceeding a plan limit pauses new runs rather than generating overage charges. Fees already paid are non-refundable except where required by law.

8. Suspension and termination

We may suspend or terminate a workspace that breaches these terms or the Acceptable Use Policy, that creates risk or legal exposure for us, or that is required to be suspended by law. Where circumstances allow we will give notice and an opportunity to remedy. You may close your workspace at any time.

9. Your data

You retain ownership of the content and account data you bring. You grant us the limited licence needed to host and process it to operate the service. Handling is described in the Privacy Policy. On termination, stored credentials are destroyed and remaining data is deleted on the schedule set out there.

10. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the service is limited to the greater of the fees you paid in the twelve months before the claim, or USD 100. Nothing here limits liability that cannot lawfully be limited.

12. Indemnity

You will indemnify and hold us harmless against claims, losses and costs arising from your use of the service, your content, the accounts you attach, or your breach of these terms — including any claim brought by a network or by a person you contacted through the service.

13. Changes

We may update these terms. Material changes will be announced before they take effect, and the date above will change. Continuing to use the service after that date means you accept the revised terms.

14. Governing law

These terms are governed by the laws of the jurisdiction in which the operating entity is established, without regard to conflict-of-law rules, and the courts of that jurisdiction have exclusive jurisdiction.
